Myrivo Terms of Service

1. Agreement and Scope

These Terms of Service ("Terms") govern your access to and use of the Myrivo platform, websites, dashboards, APIs, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to these Terms.

If you use the Services on behalf of a business, you represent that you are authorized to bind that business, and "you" includes that business entity.

2. Eligibility and Accounts

You must be legally capable of entering into a binding agreement and comply with applicable laws to use the Services.

You are responsible for:

• maintaining accurate account information;
• protecting account credentials;
• all activity under your account and invited team members.

You must promptly notify Myrivo of unauthorized use or security incidents involving your account.

3. Services Provided

Myrivo provides software tooling for commerce operations, including storefront management, content controls, product catalog and inventory management, order workflows, notifications, and platform governance.

Myrivo is a software provider and is not the merchant of record for your underlying product sales unless explicitly stated in a separate written agreement.

4. Merchant Responsibilities

If you operate a store on Myrivo, you are solely responsible for:

• product listings, pricing, descriptions, and availability;
• order fulfillment, shipping, pickup logistics, and customer support;
• taxes, duties, and legal compliance for your business activities;
• refunds, disputes, and consumer protection obligations;
• compliance with applicable laws (including advertising, privacy, and commerce laws).

You agree not to use the Services for unlawful, fraudulent, deceptive, or prohibited activities.

5. Payments, Billing, and Third-Party Processors

Platform fees, plan pricing, and transaction fees are described in your plan and/or billing configuration.
You authorize Myrivo and its payment partners to process charges and fees according to your selected plan and usage.

Payment processing may be provided by third-party providers (for example, Stripe). Your use of those services is also subject to the third party's terms and policies.

Myrivo is not responsible for failures, delays, holds, chargebacks, or account restrictions imposed by third-party payment providers.

6. Shipping and Fulfillment Integrations

If you connect shipping or fulfillment providers, you authorize Myrivo to transmit required order and shipping data to those providers.

You remain responsible for shipment accuracy, carrier selection, tracking communications, and delivery outcomes.

7. Acceptable Use

You may not:

• violate applicable law or third-party rights;
• transmit malware or attempt to disrupt the Services;
• bypass security or access controls;
• scrape or extract data beyond permitted API and product behavior;
• use the Services to facilitate fraud, spam, or abusive behavior.

Myrivo may suspend or restrict access where necessary to protect users, the platform, or legal compliance.

8. Data and Content

You retain rights in your business content and data that you upload to the Services.
You grant Myrivo a non-exclusive, worldwide, royalty-free license to host, process, copy, and display such content solely to provide, secure, improve, and support the Services.

You represent that you have all rights needed to upload and use submitted content.

9. Intellectual Property

Myrivo and its licensors own all rights, title, and interest in the Services, including software, interfaces, documentation, trademarks, and related intellectual property.

Except for limited rights expressly granted under these Terms, no license or ownership rights are transferred to you.

10. Beta, Experimental, and Pre-Release Features

Myrivo may offer beta or experimental functionality. Such features may be modified or removed at any time and may be provided "as is" without warranties.

11. Service Changes and Availability

Myrivo may update, improve, or discontinue features from time to time.
While we aim for reliable availability, uninterrupted operation is not guaranteed.

Scheduled or emergency maintenance may affect access.

12. Privacy

Your use of the Services is subject to the Myrivo Privacy Policy.
Where processing of personal data is required to provide the Services, you and Myrivo each agree to comply with applicable privacy laws.

13. Confidentiality

Each party may receive non-public information from the other.
The receiving party will use such information only to perform under these Terms and protect it with reasonable care.

14. Termination

You may stop using the Services at any time.
Myrivo may suspend or terminate access for breach, legal risk, abusive behavior, security concerns, or extended non-payment.

Upon termination, rights granted under these Terms end, except provisions that by nature survive termination (including payment obligations, IP, disclaimers, limitations, and dispute terms).

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYRIVO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYRIVO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYRIVO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO MYRIVO IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

17. Indemnification

You agree to defend, indemnify, and hold harmless Myrivo and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• your use of the Services;
• your products, content, or business practices;
• your breach of these Terms or applicable law.

18. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles.

Any dispute arising from these Terms or the Services will be resolved exclusively in state or federal courts located in Virginia, and each party consents to personal jurisdiction and venue in those courts.

19. Changes to Terms

Myrivo may update these Terms from time to time.
When required, we will publish a new version and effective date and may require renewed acceptance for continued use.
